Change in QSC Management Board

Cologne, December 10, 2003 - The Supervisory Board of QSC AG, a nationwide provider of telecommunication solutions, has approved the following personnel changes:

Gerd Eickers (51), co-founder and member of the Management Board responsible for Customer Service, Order Management and Regulatory Affairs since January 2001, will not seek a renewal of his appointment and resign from his Management Board position at his own request effective December 31, 2003: This allows the Management Board to propose Mr Eickers reelection onto the Supervisory Board at QSC's next Annual Shareholders meeting in May of 2004. Between 1999 and his change into a management board position at the beginning of 2001, Mr Eickers had already held a directorship  on the QSC Supervisory Board.
Mark Goossens (45), General Manager of Ventelo GmbH, has been appointed to the QSC Management Board effective January 1, 2004, to succeed Gerd Eickers. Voice carrier Ventelo was acquired by QSC in December 2002, and the company's integration has now been largely finalised. On the QSC Management Board, Mark Goossens will be responsible for Customer Service, Order Management as well as Billing and Carrier Management. In the future, repsonsibilties for  Regulatory Affairs be assumed by QSC's Chief Executive Officer, Dr. Bernd Schlobohm. Mark Goossens will continue to serve as General Manager of Ventelo GmbH.

An electrical engineer who holds a Master of Business Administration, Mark Goossens began his professional career at AT&T and Philipps in Hilversum, The Netherlands. After having served in various executive positions at telecommunication and consulting companies, he joined Thyssen Telecom subsidiary Plusnet in 1995, where he was in charge of sales. Following this company's acquisition by Esprit Telecom and GTS, Goossens was appointed general manager of GTS Deutschland GmbH in September 2000, which was renamed "Ventelo" in October 2001. He continued to hold this position following Ventelo's acquisition by QSC in December 2002.

"I would like to thank my partner Gerd Eickers for his outstanding work on the QSC Management Board; I am very pleased that he will again be able to work toward the success of the company on the Supervisory Board," states Bernd Schlobohm, co-founder and Chief Executive Officer of QSC AG, adding: "With Mark Goossens, we have gained a member of the Management Board whose know-how will be playing a key role in developing QSC into an integrated telecommunication provider."
